Before Registering a Thai Company: What Should Founders Agree On?

Start with agreement, not just forms

Before registering a company, founders should share an understanding of its activities, investors, management and premises. The Department of Business Development’s business advisory guide lists shareholders, directors, capital, location and objectives among formation information. This article uses those headings to prepare questions; it is neither a complete official document checklist for every case nor a current filing manual.

Describe the actual activity before selecting wording

Briefly explain the goods or services, customers and operating locations. Separate immediate activities from plans not yet agreed, then ask the responsible adviser to check appropriate objectives and any additional licensing questions. Do not choose the broadest sample wording without understanding its relevance. Prepare alternative names for checking rather than assuming that a chosen name will certainly be registered.

Separate shareholders, directors and day-to-day workers

Create a person-by-person table of proposed shareholding, directorship and working roles. These may overlap but need not be identical. Mark unresolved matters such as daily management, approval of important transactions and arrangements when a responsible person is absent. Ask a lawyer to translate that information into appropriate structures and documents instead of using the conversational word partner for every detail.

Separate planned investment from payments already made

For capital and share proportions, collect the founders’ proposals and identify whether agreement has been reached. If money has already been paid, record payer, recipient, date and purpose from the evidence. Do not automatically label it share payment or a loan merely to complete a table. Its classification, supporting documents and recording require review of the facts; intended capital is not proof of money actually received.

Check premises and circumstances needing more information

Identify the intended office and the basis for using it, such as ownership, lease or pending owner permission, with available documents. Disclose foreign participants, specialized activities or multiple operating locations at the outset so that relevant requirements can be checked. Another company’s document package does not establish that the same structure works for yours.

Send one information pack with unresolved items marked

Combine preferred names, activities, personal roles, capital plans and premises information, marking matters awaiting agreement or evidence. B Law Firm lists business advisory and company formation registration services, so this pack can begin a discussion of scope. Before filing, check current forms, procedures, fees and conditions with the person handling the application. Completing this article’s preparation does not guarantee approval or a registration timetable.
