A contract that is unclear or leaves out something important is often where a later dispute begins. Having a lawyer look at the document before you sign closes the gaps that could put you at a disadvantage. B Law Firm drafts new contracts that match what the parties have really agreed, and reviews contracts the other side has sent you.
How we can help
- Drafting contracts that match what you have agreed, such as employment contracts, land sale and purchase agreements, leases or prenuptial agreements.
- Reviewing a contract the other party has sent before you sign it, pointing out the risky or unclear clauses and proposing better wording.
- Checking the contract signatory: that the person signing for a company has the authority to bind it, from the company certificate and any power of attorney.
- Going through the clauses that most often cause trouble: scope of work, payment, delivery, termination, penalties and how disputes will be resolved.
When to talk to a lawyer
- The other side has sent you a contract to sign and there are clauses you do not understand or are unsure about.
- The contract is worth a lot or binds you for a long time, such as a land purchase, a lease of business premises or an employment contract.
- You are signing with a company and are not sure the person signing for it really has the authority.
- You have agreed something by word of mouth or in a chat and want it put clearly in writing.
What to prepare before you talk to us
Have these ready for the lawyer when you talk. In the online form a short summary is enough; please do not send important documents or confidential details yet.
- The draft contract or documents you have received, and the messages in which you agreed the terms.
- Details of the other party; for a company, a recent company certificate, and a power of attorney if someone signs on its behalf.
- The key terms: price, how payment is made, delivery dates and how long the contract runs.
- What worries you, or what you fear could go wrong after signing.
Worth knowing: some contracts, such as leases, contracts for work and loan agreements, must carry the full stamp duty. If they do not, they may not be admitted as evidence in a civil case until the duty is paid.
What happens when you contact us
- Send us your matter through the online consultation form, LINE or email, telling us only what we need for a first assessment.
- A lawyer calls you back to ask about the facts and the documents, and tells you plainly about the prospects and the limits of your matter.
- We agree the scope of work and the fees before any work starts. Our fees match the actual scope of work, are transparent and carry no hidden charges.
- We act for you once we have confirmed in writing that we are taking on your matter. Sending the form alone does not make us your lawyers.
If your matter has a legal deadline, such as a court date, a limitation period or a filing deadline, please call the firm directly as soon as possible rather than waiting for a reply to a form or an email.
This page gives general information, not legal advice on any particular matter. Every matter turns on its own facts, so please talk to a lawyer before you decide.
