Before paying a reservation fee or signing a franchise agreement, let a lawyer see the draft, appendices and sales materials used in making the decision. Store images and an initial investment figure do not explain how the name may be used, where sales are allowed or when use must end. This is a consultation checklist, not a franchise endorsement or a contract template suitable for every business.
A Department of Business Development franchise guide includes initial fees and royalty calculation among agreement topics. Turn these into questions about the actual proposal: when each sum is due, its calculation basis and which document explains it. If a single price covers several items, request a breakdown. An unspecified amount should not be treated as no cost.
Describe situations relevant to your store, such as in-store sales, app-based delivery or temporary booths, and ask the lawyer to compare them with the agreement's territory and channel provisions. If you expect no nearby competing branch, ask what wording supports that expectation. A verbal allocation of an area does not establish exclusive rights across every channel.
List the equipment, ingredients, software and fit-out you expect to need, distinguishing what the seller will supply from what you must obtain separately. If ingredients become unavailable or a machine model changes, ask which alternatives are allowed, whose approval is needed and what they cost. Preserve decision-relevant answers for review alongside the appendices to be signed.
Imagine that stock remains and the premises lease continues while franchise rights are about to expire. Ask what should happen to signage, inventory, equipment and customer data in your possession, as well as the conditions for renewal or transferring the store. Continued trading does not by itself mean automatic renewal or an unrestricted right to sell the business.
Give B Law Firm the latest draft, sales proposal, evidence of important explanations and a summary of buyer expectations for review within its contract services. Date different versions and ask whether negotiated points appear in the actual signing copy. Contract review helps identify questions and risks; it does not guarantee profit, payback or a dispute outcome.
